Part B – General Business Terms

7. Services

DCS Payroll Agency (NE) Ltd provides managed payroll outsourcing services to businesses. The specific scope of services, fees, and obligations are set out in each individual client agreement or engagement letter.

8. Client responsibilities

Clients are responsible for providing accurate and complete payroll information to DCS in a timely manner. DCS will process payroll based on the information provided and cannot be held liable for errors arising from inaccurate or incomplete data supplied by the client.

9. Confidentiality

DCS will keep all client information strictly confidential and will not disclose it to third parties except as required by law or regulation, or as necessary to perform the services (e.g. submissions to HMRC, The Pensions Regulator, or pension providers).

10. Data protection

Both parties will comply with their respective obligations under UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for full details of how we handle personal data.

11. Fees and payment

Fees are as agreed in the individual client engagement. Invoices are due for payment as specified. DCS reserves the right to suspend services in the event of non-payment.

12. Termination

Either party may terminate the agreement by giving notice as specified in the engagement letter. Upon termination, DCS will provide reasonable assistance to transition payroll to a new provider.

13. Governing law

These terms and any client agreement are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
